DEVELOPER TERMS
This binding agreement documents the rules and regulations of the Syncpedia developer program. If you do not agree with any provision within these Developer Terms, you are not authorized to sign up or access the Syncpedia Developer program.

FOUNDER ACCOUNT SPECIFIC TERMS
Syncpedia Basic and Premium Founder Accounts have a fixed yearly fee, which include unlimited listings on all software channels and unlimited download/buy clicks according to the advertised features at the time of signup. In the event Syncpedia LLC should cease to offer new Founding accounts, existing Founder account members would still retain the full privileges of their existing accounts for life at the same yearly fee, as long as Syncpedia LLC maintains business operations.

FREE ACCOUNT SPECIFIC TERMS
Syncpedia LLC reserves the right to terminate free account services at any time without notice. Syncpedia LLC reserves the right to change the terms and/or features of the free developer accounts without notice at any time. Syncpedia LLC provides no warranty or guarantee as to the quality or availability of the free services offered.

CUSTOMER RESPONSE
Developers are expected to provide timely response to customer inquires and orders originating from syncpedia.com. Ideally developers should strive to respond to all requests within 24 hours, but developers are required to complete all orders originating from syncpedia.com within 5 business days. In the event that Syncpedia LLC receives repeated customer complaints regarding poor responsiveness of a specific developer, Syncpedia LLC reserves the right to terminate or suspend that developer account without notice. Syncpedia LLC reserves the sole right to decide what constitutes violations of the above rules and regulations.

DEVELOPER RECORDS
It is the developers sole responsibility to maintain accurate and up to date records with Syncpedia LLC, including billing, a valid email address, and personal contact information. In cases where a developers credit card fails to process, we will make attempts to contact the developer through on file contact information. Syncpedia LLC reserves the right to terminate accounts with inaccurate billing and contact information, which would include permanent deletion of software listings. For this reason it is very important that we always have up to date account, credit card and billing information.

NO UNLAWFUL OR PROHIBITED USE
As a condition of your use of this Web site, you warrant to Syncpedia LLC that you will not use this Web site for any purpose that is unlawful or prohibited by these terms, conditions, and notices, including:

You agree that you will not violate the laws, regulations, ordinances or other such requirements of any applicable Federal, State or local government.
You agree that you will not interfere with other developers listings in any way, including artificially manipulating clicks.
You agree not to take any action which encourages or consists of any threat of harm of any kind to any person or property or assists any other person or group in doing so.
You agree not to make or attempt any unauthorized access to any Syncpedia LLC website.
You agree not to infringe any copyright, trademark, patent, trade secret, or other proprietary rights of any third party, including, but not limited to, the unauthorized copying of copyrighted material, the digitization and distribution of photographs from magazines, books, or other copyrighted sources, and the unauthorized transmittal of copyrighted software.
You agree not to abuse whether verbally or physically or whether in person, via email or telephone or otherwise any customers or users of Syncpedia.com.

Syncpedia LLC reserves the sole right to decide what constitutes violations of the above rules and regulations. Offenders will be permanently banned, and Syncpedia LLC will work with all legal authorities regarding member violations.

INDEMNITY
You will indemnify and hold Syncpedia LLC (and any officers, directors, agents, subsidiaries, joint ventures and employees), harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of this Agreement, or your violation of any law or the rights of a third party.

ACCESS RESTRICTION
Syncpedia LLC reserves the right to deny in its sole discretion any developer access to this Web site or any portion thereof without notice.

LIABILITY DISCLAIMER
The information, software, products, and services included on this Web site may include inaccuracies or typographical errors. Changes are periodically added to the information herein. Syncpedia LLC and/or its respective suppliers may make improvements and/or changes in this Web site at any time. Advice received via this Web site should not be relied upon for personal, medical, legal or financial decisions and you should consult an appropriate professional for specific advice tailored to your situation. BINDING ARBITRATION
You agree that any and all disputes or claims against Syncpedia LLC will be handled by an arbitrator of our hiring and decisions rendered by such arbitrator will be final and binding. If the arbitrator rules in our favor, you will be responsible for any and all costs related to or associated with such arbitration.

MODIFICATION OF THESE TERMS AND CONDITIONS
Not including FOUNDER ACCOUNT SPECIFIC TERMS, Syncpedia LLC reserves the right to change the terms, conditions, and notices under which this Web site is offered at any time.

GENERAL
You agree that no joint venture, partnership, employment, or agency relationship exists between you and Syncpedia LLC as a result of this agreement or use of this Web site. Syncpedia LLC's performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of Syncpedia LLC's right to comply with governmental, court and law enforcement requests or requirements relating to your use of this Web site or information provided to or gathered by Syncpedia LLC with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect. This agreement constitutes the entire agreement between the developer and Syncpedia LLC with respect to this Web site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and Syncpedia LLC with respect to this Web site. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. Fictitious names of companies, products, people, characters and/or data mentioned herein are not intended to represent any real individual, company, product or event. Any rights not expressly granted herein are reserved.
